These Terms of Service (“Terms”) govern your access to and use of beta.cogmyra.com and the CogMyra Praxis Core Math 5733 Retake Sprint (the “Service”). The Service is operated by Michael F. Angotti, doing business as CogMyra, a sole proprietorship located in Los Angeles, California. In these Terms, “CogMyra,” “we,” “us,” and “our” refer to the operator. “You” refers to the person accessing the Service.
By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
These Terms apply only to beta.cogmyra.com. The separate cogmyra.com site is governed by its own terms.
1. The Service
CogMyra provides an independent test-preparation product for the Praxis Core Academic Skills for Educators Mathematics test (5733). The Service includes:
- A free Triage form and Triage Report that helps you understand whether the Sprint is right for you.
- A paid 30-day Retake Sprint that provides personalized coaching prompts, diagnostic items, and review materials.
- Optional waitlist communications, if you opt in.
CogMyra is not affiliated with, endorsed by, or sponsored by Educational Testing Service (ETS), the organization that develops and administers the Praxis test. See our Non-Affiliation Disclosure for details.
The Service is currently offered as a closed founding beta with limited enrollment. The product, content, pricing, and features are subject to change as we learn from beta users.
2. Eligibility
You may use the Service only if all of the following are true.
- You are at least 18 years old.
- You are able to form a binding contract under the laws of your jurisdiction.
- You are not barred from using the Service under applicable law.
- You provide accurate information when you submit the Triage form or purchase the Sprint.
The Service is directed at learners in the United States. If you access the Service from another country, you do so at your own initiative and you are responsible for compliance with local law.
3. Your account
Access to the paid Sprint requires an account. CogMyra uses passwordless, magic-link authentication. You access your account by entering your email address and clicking a one-time link we send you.
You are responsible for keeping access to your email account secure. If someone else gains access to your email, they may be able to access your CogMyra account. If you suspect unauthorized access, contact admin@cogmyra.com immediately.
You may have only one CogMyra account at a time. You may not share access to your account or transfer it to another person. Each Sprint enrollment is for a single named learner.
4. Purchases and refunds
The Sprint is sold for $99 USD, charged at checkout through our payment processor, Stripe. By completing checkout you authorize CogMyra and Stripe to charge your chosen payment method for the purchase amount.
Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference. The short version: full refund within 14 days of purchase, no questions asked. After 14 days, purchases are final except in cases of material change to the Sprint or in unusual circumstances at our discretion.
We do not store full card numbers. Stripe handles payment information directly under its own terms and privacy policy.
5. Acceptable use
When you use the Service, you agree not to:
- Use the Service for any unlawful purpose, or to facilitate any unlawful activity.
- Attempt to gain unauthorized access to the Service, our systems, or other users’ accounts.
- Probe, scan, or test the vulnerability of the Service, or breach any security or authentication measures.
- Use automated tools (bots, scrapers, crawlers) to access or extract content from the Service, except for standard search-engine indexing of public pages.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Copy, redistribute, sell, license, or republish CogMyra content outside the Service without our written permission.
- Submit false, misleading, or harassing content through Service forms, including the Triage form.
- Use the Service to harass, threaten, defame, or harm any person.
- Interfere with the proper functioning of the Service or with other users’ use of it.
- Attempt to extract or reconstruct prompts, model instructions, or other internal configuration of the Service.
We may suspend or terminate your access if you violate this Section. See Section 11.
6. Your content
You may submit information to the Service through the Triage form, Sprint coaching sessions, score uploads (if and when that feature is available), and email correspondence. Anything you submit is “Your Content.”
You retain ownership of Your Content. By submitting it, you grant CogMyra a worldwide, non-exclusive, royalty-free license to store, process, display, and use Your Content for the purpose of providing the Service to you, improving the Service, and meeting our legal obligations. This license ends when we delete Your Content under our Privacy Policy, except for de-identified or aggregated data that no longer identifies you.
You represent that you have the right to submit Your Content and that Your Content does not violate any third party’s rights or any law.
We do not use Your Content to train AI models, our own or anyone else’s. See the Privacy Policy for details on how Anthropic processes coaching inputs.
7. Our content and intellectual property
The Service includes content created by CogMyra, including diagnostic items, coaching prompts, review materials, the design of the Triage Report, the user interface, and supporting text and graphics (“CogMyra Content”). CogMyra Content is owned by us or our licensors and is protected by copyright, trademark, and other intellectual-property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use CogMyra Content solely for your own personal test preparation while these Terms are in effect. You may not:
- Copy, reproduce, or distribute CogMyra Content outside the Service.
- Create derivative works from CogMyra Content.
- Use CogMyra Content to train any AI model or to generate competing products.
- Remove or alter any copyright, trademark, or other proprietary notice.
- Sublicense or commercially exploit CogMyra Content.
CogMyra is a trademark of the operator. All other trademarks referenced in the Service are the property of their respective owners. See our Non-Affiliation Disclosure for trademark acknowledgments.
8. No guarantee of test outcomes
CogMyra does not guarantee that you will pass the Praxis Core Math 5733, achieve any particular score, or experience any particular learning outcome. Test performance depends on many factors outside our control, including individual preparation, prior knowledge, test-day conditions, and the test itself.
We aim to give honest, specific, calibrated feedback. We will not tell you that you will pass. We will tell you what we observe in your work and what we recommend you focus on.
9. Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COGMYRA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
We do not warrant that:
- The Service will meet your specific test-preparation needs.
- Information provided through the Service is complete, accurate, or current at all times.
- Coaching responses generated by AI will be free of errors, omissions, or content that you disagree with.
- The Service will be available without downtime, particularly given its current beta status.
Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the disclaimers in this Section apply to the maximum extent permitted by law.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COGMYRA AND ITS OPERATOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO COGMYRA FOR THE SPRINT, OR $99 USD, WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
11. Suspension and termination
You may stop using the Service at any time. To delete your account and have your data removed, email admin@cogmyra.com. Refunds, if available, are governed by the Refund Policy.
We may suspend or terminate your access to the Service if:
- You violate these Terms, including the Acceptable Use rules in Section 5.
- You fail to pay amounts due, including in the case of a successful chargeback.
- We are required to do so by law, regulation, or order of a court.
- The Service is discontinued (see Section 12).
If we terminate your access for a material violation of these Terms, you are not entitled to a refund. If we terminate your access for any other reason, we will refund the unused portion of any prepaid fees on a prorated basis.
Sections that by their nature should survive termination (including Sections 6, 7, 8, 9, 10, 13, 14, and 15) will survive.
12. Service modifications and discontinuation
The Service is offered as a closed founding beta. We may modify, add, or remove features at any time. We may change pricing for future purchases, but we will not change the price of a Sprint after you have purchased it.
We may suspend or discontinue the Service entirely at any time. If we discontinue the Service while you have an active Sprint enrollment, we will notify you by email and refund the unused portion of your purchase on a prorated basis.
13. Governing law, venue, and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.
Before filing any formal claim, you agree to first contact us at admin@cogmyra.com and provide a reasonable opportunity (at least 30 days) to resolve the matter informally. We will do the same with respect to any claim against you.
14. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the Effective Date at the top, post the revised Terms at beta.cogmyra.com/legal/terms, and notify active users by email. Your continued use of the Service after the Effective Date constitutes acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the Service.
15. Miscellaneous
Entire agreement. These Terms, together with the Privacy Policy, Refund Policy, and Non-Affiliation Disclosure, are the entire agreement between you and CogMyra regarding the Service and supersede any prior agreements or understandings.
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be reformed to the minimum extent necessary to make it enforceable.
No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
Relationship of the parties. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and CogMyra.
Notices. We may give notices to you by email at the address you provided, by posting on the Service, or by any other reasonable means. You may give notices to us at admin@cogmyra.com.
Force majeure. We are not liable for delays or failures in performance caused by circumstances beyond our reasonable control, including natural disasters, network failures, third-party service outages, government actions, and acts of war or terrorism.
